Eclipse Doubles its Microsoft Dynamics GP Business

Australia & New Zealand - Thursday, 1 June 2006 - UXC Limited (UXC) has finalised an agreement to purchase the implementation division of eOne Integrated Business Solutions (“eOne”), a Sydney based IT Services organisation specialising in the Microsoft Dynamics GP product suite. This further extends UXC’s position as the largest Microsoft Business Solutions partner in Australasia.

eOne, which was established in 2001, is a leading provider of Microsoft Dynamics GP licenses, implementation, maintenance and consulting services in Australia and New Zealand, and is Microsoft Gold Certified. eOne is also involved with Microsoft and SalesLogix Customer Relationship Management solutions, and has distribution rights for certain proprietary products which extends Microsoft Dynamics GP functionality. Blue-chip customers include AMP, Fuji Xerox, Synthes, Fat Prophets, Canteen and The Liberal Party NSW.

UXC Executive Chairman, Geoff Lord said: “Eclipse Computing, a part of the Business Solutions Group of UXC, is currently the leading Microsoft Business Solutions partner in Australasia. eOne will merge with the existing Microsoft Dynamics GP business conducted by Eclipse.
Together the combined business unit will have some 37 Microsoft Dynamics GP specialists servicing in excess of 220 clients in Australia and New Zealand, making UXC the clear leader in this space.
We also now have an avenue into New Zealand to sell our capabilities in the Microsoft Business Solutions Dynamics Axapta and Navision product suites, solutions with which we currently have a further customer base of 130 clients.”

Eclipse has received a number of awards from Microsoft recognising its standing within the Asia Pacific region. Eclipse is also a leader in the provision of software services and solutions with PayGlobal, Systems Union and Pivotal. eOne’s Simon Butler will assume the role of Executive Director of the combined business reporting to Eclipse CEO Bradley Stroop. eOne’s professional staff will also continue with the business.

The initial consideration is based on a multiple of actual earnings for the 2006 calendar year, and will be payable in a combination of cash and shares, on a deferred basis. UXC will pay further consideration contingent upon growth in earnings over a benchmark for the 2006 and 2007 Calendar years. The transaction will be immediately earnings per share positive.
